OVERVIEW

Welcome to Roselle! The terms "we", "us" and "our" refer to Roselle, operates this website, including all related information, content, features, tools, products and services (the "Services"). Roselle is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER THAT AFFECT YOUR LEGAL RIGHTS. EXCEPT AS EXPRESSLY PROVIDED HEREIN, ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION RATHER THAN IN COURT. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 22 BELOW. PLEASE REVIEW SECTION 22 CAREFULLY.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including purchasing any products, you may be asked to provide certain information such as your email, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete, and that you have all rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all account activity. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 - OUR PRODUCTS

We have made every effort to provide an accurate representation of our products in our online store. Colors or product appearance may differ from how they appear on your screen due to your device and its settings.

We do not warrant that the appearance or quality of any products purchased will meet your expectations or be identical to how they are depicted in our store.

Product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit quantities offered to any person, geographic region, or jurisdiction.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. Roselle reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until we confirm acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests after an order is accepted.

If we do not accept, change, or cancel an order, we will attempt to notify you using the email, billing address, and/or phone number provided at the time the order was made.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

Acceptance of your order and formation of a contract of sale between Roselle and you does not take place unless and until you receive an order confirmation email. If we deny your order, you will receive a refund to your original payment method. We reserve the right to require additional information before processing any order.

SECTION 4 - PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed, as set out in your order confirmation email. Unless otherwise stated, posted prices do not include taxes, shipping, handling, or import charges. We are not responsible for pricing, typographical, or other errors in any offer, and we reserve the right to cancel any order arising from such errors.

Prices in our online store may differ from prices in other channels. We may offer promotions governed by separate terms; where those terms conflict with these Terms, the promotion terms govern.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases. By submitting payment information, you represent that you are fully authorized to use that payment method and that sufficient funds exist to cover the amount due.

Automatic Renewals. If you have enrolled in a subscription or membership program (including our recurring product subscriptions), you will automatically be charged on a recurring basis according to the frequency you selected at signup (e.g., monthly), on the same calendar date each cycle as your original purchase date. YOUR SUBSCRIPTION WILL CONTINUE UNTIL YOU CANCEL. TO CANCEL, YOU MUST LOG IN AND CANCEL, PAUSE, OR SKIP YOUR SUBSCRIPTION BEFORE YOUR NEXT SCHEDULED BILLING DATE. All cancellation requests received after your scheduled billing date will apply to the following subscription period. We may refuse to renew any subscription in our sole discretion.

VIP Membership Program. Enrollment in our VIP membership program is not automatic and is not pre-selected. To enroll, you must affirmatively check a box or otherwise take a clear affirmative action acknowledging and agreeing to these VIP membership terms, separate from your acceptance of these Terms of Service generally, before your enrollment is completed. Your affirmative action at checkout or sign-up constitutes your enrollment in the VIP membership program and your authorization for us to bill your selected payment method on a recurring basis as described below, unless and until you cancel.

If you enroll in our VIP membership program, you will receive a free trial period of seven (7) days from your enrollment date. UNLESS YOU CANCEL BEFORE THE END OF YOUR FREE TRIAL, YOU WILL BE AUTOMATICALLY CHARGED THE VIP MEMBERSHIP FEE AT THE END OF THE 7-DAY TRIAL PERIOD, AND YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW AND YOU WILL BE CHARGED EVERY TWENTY-FOUR (24) DAYS THEREAFTER UNTIL YOU CANCEL. The applicable membership fee will be disclosed to you at the time of enrollment. TO CANCEL YOUR VIP MEMBERSHIP AND AVOID BEING CHARGED, YOU MUST CANCEL BEFORE THE END OF YOUR FREE TRIAL OR BEFORE YOUR NEXT SCHEDULED 24-DAY BILLING DATE, AS APPLICABLE, BY LOGGING INTO YOUR ACCOUNT OR CONTACTING us at help@tryroselle.com. All cancellation requests received after your scheduled billing date will apply to the following billing cycle, and no partial refunds will be issued for the remainder of an already-charged cycle. We may modify, suspend, or discontinue the VIP membership program, including its benefits or pricing, at any time in our sole discretion, with reasonable notice where required by law.

Account Updater Disclosure. We and our third-party payment service providers may receive updated credit card information from your card issuer (e.g., updated card numbers or expiration dates). If updated information is provided to us, you authorize us to charge the updated payment method for any amounts due. You may opt out of this update service by contacting your card issuer directly.

SECTION 5 - SHIPPING AND DELIVERY

We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.

SECTION 6 - REFUNDS AND RETURNS

We stand behind our products with a 30-Day Satisfaction Guarantee, subject to the following terms:

  • Days 0–14 from delivery (unopened products only): You may choose a refund of 30% of your purchase price, or an exchange or store credit for the full value of your purchase.
  • Days 15–30 from delivery (unopened products only): You may choose a refund of 50% of your purchase price, or an exchange or store credit for the full value of your purchase.
  • Opened products (within 30 days of delivery): Eligible for an exchange or store credit only. Refunds are not available for opened products.
  • After 30 days from delivery: Returns are not eligible, unless covered by a separate product warranty or at Roselle's discretion in special circumstances.

To request a refund, exchange, or store credit, contact us at help@tryroselle.com with your order number. Shipping and handling fees are non-refundable except where required by law. Additional conditions, timeframes, and processes may be set out in our separate Refund Policy, available on our website, which supplements and should be read together with this Section. In the event of any conflict between this Section and our Refund Policy, this Section 6 controls.

SECTION 7 - INTELLECTUAL PROPERTY

Our Services, including all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and their design, selection, and arrangement, are owned by Roselle, its affiliates, or licensors and are protected by U.S. and foreign patent, copyright, and other intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any material on the Services without our prior written consent.

Roselle's names, logos, product and service names, designs, and slogans are trademarks of Roselle or its affiliates or licensors. You must not use these trademarks without our prior written permission.

Notwithstanding the arbitration agreement in Section 22, Roselle retains the right to bring a claim against you in the state or federal courts of Wyoming for injunctive or equitable relief arising from any actual or potential misappropriation or infringement of Roselle's intellectual property rights, and you agree that venue is proper and that you are subject to personal jurisdiction in such forum.

SECTION 8 - OPTIONAL TOOLS

We may provide access to third-party tools we neither monitor nor control. You acknowledge that we provide access to such tools "as is" and "as available" without warranties of any kind and without endorsement. We have no liability arising from your use of optional third-party tools. Use of any such tools is entirely at your own risk, and you should review the relevant third party's own terms.

SECTION 9 - THIRD-PARTY LINKS

We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you access through our Services. We are not liable for any harm or damages related to your access of third-party websites, or your purchase or use of any products, services, or content on third-party websites.

SECTION 10 - USER COMMENTS, FEEDBACK, AND OTHER SUBMISSIONS

If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use. We have no obligation to keep Feedback confidential, compensate you for it, or respond to it.

You agree that your comments will not violate any third party's rights (including copyright, trademark, or privacy), will not contain unlawful, abusive, or obscene material, and will not contain viruses or malware. You may not use a false email address or otherwise mislead us as to the origin of your comments. You are solely responsible for your comments and their accuracy.

SECTION 11 - PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy. By using the Services, you acknowledge that you have read our Privacy Policy.

SECTION 12 - SMS/TEXT MESSAGING PROGRAM

By providing your phone number and opting in to our SMS program (whether through checkout, a signup form, or by texting our designated number), you consent to receive transactional, order-update, and/or marketing SMS/text messages from or on behalf of Roselle. Message frequency varies; message and data rates may apply. Carriers are not liable for delayed or undelivered messages, and delivery depends on your carrier's network and performance.

We may share your SMS opt-in/consent data and phone number with third parties solely as necessary to provide the messaging service (e.g., platform providers, aggregators, and vendors who help deliver text messages). We will not share, sell, or rent your mobile information to third parties for their own marketing purposes.

You may withdraw consent at any time by replying STOP to any message you receive, or by using any other opt-out method described in a message. Reply HELP for assistance. Opting out of SMS will affect your ability to receive future SMS/text communications from Roselle. For support, contact us at help@tryroselle.com.

SECTION 13 - ERRORS, INACCURACIES, AND OMISSIONS

We reserve the right to correct any errors, inaccuracies, or omissions, and to change, update, or cancel orders if any information is inaccurate at any time without prior notice, including after you have submitted an order.

SECTION 14 - PROHIBITED USES

You may access and use the Services for lawful purposes only. You are prohibited from using the Services: (a) for any unlawful purpose; (b) to solicit others to perform unlawful acts; (c) to violate any regulations, rules, or laws; (d) to infringe our or others' intellectual property rights; (e) to harass, abuse, or discriminate against any person; (f) to submit false or misleading information; (g) to upload viruses or malicious code; (h) to collect or track others' personal information; (i) to spam, phish, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Services.

SECTION 15 - TERMINATION

We may terminate this agreement or your access to the Services (or any part of it) in our sole discretion at any time, without notice, and you will remain liable for all amounts due up to and including the date of termination.

SECTION 16 - DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED BY RENU, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SECTION 16 - DISCLAIMER OF WARRANTIES (corrected)

EXCEPT AS EXPRESSLY STATED BY ROSELLE, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SECTION 17 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL ROSELLE, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOST GOODWILL, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW, IN NO EVENT WILL ROSELLE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID ROSELLE IN THE LAST TWELVE (12) MONTHS, OR IF GREATER, ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages or the disclaiming of implied warranties. If you are located in such a jurisdiction, the foregoing limitations apply only to the maximum extent permitted by law, and the invalidity of any portion will not affect the remaining portions of this section. If you are dissatisfied with the Services or these Terms, your sole and exclusive remedy is to discontinue use of the Services.

SECTION 18 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Roselle, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, arising out of your breach of these Terms or your violation of any law or third-party right.

SECTION 19 - GENERAL DISCLAIMERS

Pet Odor Elimination Disclaimer. The material available through the Services, and our products themselves, are intended for general household pet odor elimination purposes only and are not a substitute for professional veterinary advice, diagnosis, or treatment. Our products are not intended to treat, cure, or prevent any pet illness, injury, skin condition, or other medical condition. If your pet is experiencing a health issue, including but not limited to skin irritation, wounds, or an unusual odor that may indicate an underlying medical condition, you should consult a licensed veterinarian before use. Roselle does not guarantee specific results from use of its products, and results may vary depending on factors unique to your pet, home, and usage.

Goods Not for Resale or Export. You represent and warrant that you are purchasing products from Roselle for your own personal or household use only, and not for resale or export.

Electronic Communications. You consent to receive electronic communications from Roselle at the email address listed on your account, or via communications posted on the Services, for any purpose. Such communications satisfy any legal requirement that they be in writing.

Force Majeure. We will not be liable or in breach of these Terms for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disaster, governmental action, war, civil unrest, pandemic, labor disputes, or carrier/telecommunications breakdowns.

Limitation on Time to File Claims. TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION ACCRUES. IF NOT COMMENCED WITHIN THAT PERIOD, SUCH CLAIM IS PERMANENTLY BARRED.

No Third-Party Beneficiaries. These Terms do not confer any rights or remedies upon any person other than you and Roselle.

SECTION 20 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions.

SECTION 21 - WAIVER; ENTIRE AGREEMENT; ASSIGNMENT

The failure of us to exercise or enforce any right or provision of these Terms will not constitute a waiver of that right or provision; any waiver will be effective only if in writing and signed by an authorized Roselle representative.

These Terms of Service, our order confirmations, and our Privacy Policy constitute the entire agreement between you and us regarding your use of the Services, superseding any prior agreements or communications.

You may not delegate, transfer, or assign this agreement or any of your rights or obligations under these Terms without our prior written consent; any such attempt will be null and void.

SECTION 22 - DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION WAIVER; JURY TRIAL WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, YOUR RIGHT TO A JURY TRIAL, AND YOUR RIGHT TO PARTICIPATE IN ANY CLASS OR REPRESENTATIVE ACTION.

THIS AGREEMENT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, UNLESS YOU OPT OUT AS DESCRIBED BELOW.

(a) Agreement to Arbitrate. You agree that any dispute or claim arising from or relating to this arbitration provision, Roselle's Privacy Policy or these Terms, Roselle's advertising or marketing practices, or Roselle's products or services shall be submitted to binding, final, and confidential arbitration before a single arbitrator administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except that either party may bring an individual claim in small claims court if the claim qualifies for small claims court jurisdiction. This arbitration provision is governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1-16. The arbitrator shall have exclusive authority to determine whether a dispute is arbitrable, shall follow applicable substantive law of the State of Wyoming to the extent consistent with the FAA, and may award any remedy available in an individual lawsuit, including compensatory, statutory, and punitive damages, declaratory and injunctive relief, and attorneys' fees and costs where available under applicable law. The arbitrator may only resolve disputes between you and Roselle and may not consolidate claims or hear class or representative claims without Roselle's consent.

(b) IP Carve-Out. Notwithstanding the foregoing, Roselle retains the right to bring a claim against you in the state or federal courts of Wyoming for injunctive relief, equitable relief, or otherwise arising from any actual or potential misappropriation or infringement of Roselle's intellectual property rights, and you agree that venue is proper and you are subject to personal jurisdiction in that forum.

(c) Class Action Waiver. YOU AND ROSELLE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR CLASS REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.

(d) Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, IF ANY DISPUTE PROCEEDS IN COURT FOR ANY REASON, YOU AND ROSELLE EACH WAIVE ANY RIGHT TO A JURY TRIAL.

(e) What You Give Up. Unless you timely opt out, you will not have the right to: have a court or jury decide your dispute; obtain pre-hearing discovery to the same extent as in court; participate in a class action as a representative, member, or opponent; act as a private attorney general; or join/consolidate your claim with another person's claim.

(f) Opt-Out Right. You may opt out of this arbitration agreement and class action waiver by sending written notice to Roselle at the address in Section 25, within thirty (30) days of the date you first accept these Terms or make your first purchase through the Services, whichever is earlier, stating your name, the product you purchased, and your intent to opt out of arbitration.

SECTION 23 - HEADINGS

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 24 - GOVERNING LAW

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

SECTION 25 - NOTICES

To You. We may provide notice to you by sending a message to the email address on your account or by posting on the Services. Notices by email are effective when sent; notices by posting are effective upon posting. Keeping your email address current is your responsibility.

Notices by personal delivery are effective immediately; by overnight courier, one business day after sending; by registered or certified mail, three business days after sending.

SECTION 26 - CHANGES TO TERMS OF SERVICE

We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates to our website. It is your responsibility to check our website periodically for changes. Your continued use of the Services following the posting of changes constitutes acceptance of those changes.
